ailabc Terms of Service

These Terms of Service govern the rights, obligations, and responsibilities between ailabc Inc. (the "Company") and members regarding the use of the AI OS and AI Agent subscription platform (including web/app, hereinafter referred to as the "Service") provided by the Company.

Article 1 (Purpose)

These Terms of Service are intended to establish the conditions and procedures for using the AI Agent-based subscription service provided by the Company, responsibilities between the Company and members, and other necessary matters.

Article 2 (Definitions)

The definitions of terms used in these Terms of Service are as follows:

"Service"

Refers to all AI-based services provided through the web/app operated by the Company, including AI Agent functions, AI automation, analysis, recommendations, content generation, etc.

"Member"

Refers to a person who agrees to these Terms of Service and enters into a service use agreement.

"Subscription"

Refers to a regular paid service where automatic payment is made in units of 1 month, 6 months, or 12 months according to the selected plan.

"Free Trial"

Refers to a system that allows new members and others to experience the service for a certain period (e.g., 72 hours) without subscription fees according to conditions set by the Company.

"Plan (Tier)"

Refers to pricing products that differ in service usage scope, functions, number of Agents, prices, etc. (Basic/Plus/Premium, etc.)

"Payment Method"

Refers to credit/check cards registered through Stripe and other payment methods permitted by the Company.

"Account (Role)"

Refers to member permissions granted in the service, such as User, Developer, Admin, etc.

Article 3 (Posting and Amendment of Terms)

  • The Company posts these Terms of Service so that they can be viewed in the "Terms of Service" menu within the service.
  • The Company may amend the terms within the scope that does not violate related laws.
  • When the terms are changed, the Company will notify the changes and effective date at least 14 days in advance.
  • Members who do not agree to the changed terms may suspend use and withdraw, and if they continue to use the service after the effective date, they are deemed to have agreed to the changed terms.

Article 4 (Conclusion of Use Agreement and Qualification Restrictions)

  • The use agreement is established when a member completes the registration application and the Company approves it.
  • Members must provide accurate information when registering, and any disadvantages arising from providing false information belong to the member.
  • The Company restricts registration for users under 14 years of age.
  • The Company may refuse registration or terminate the contract in the following cases:
    • When registration is made using another person's information or false information
    • When there has been fraudulent use or service disruption
    • When it is determined that there is a significant impediment to the Company's operations

Article 5 (Service Content)

The main content of the services provided by the Company is as follows:

  • Conversation, analysis, generation, and recommendation functions using AI Agents
  • Various functions provided according to subscription plans (Basic/Plus/Premium)
  • Free trial for new members
  • Customer service and technical support services
  • Other functions separately determined by the Company

Specific service content is announced through service screens, notices, and information pages.

Article 6 (Subscription, Free Trial, and Payment)

1. Paid Subscription and Automatic Payment

  • Paid subscriptions are processed through payment processors designated by the Company, such as Stripe Payments Canada.
  • The plan selected by the member is automatically renewed according to the payment cycle (1 month, 6 months, 12 months) and continues until cancellation.
  • The Company provides prior notice of fees, renewal dates, payment methods, etc. through the service screen.

2. Free Trial (72-Hour Trial)

  • The Company may provide a 72-hour free trial to new members and others.
  • A valid payment method may need to be registered in advance to use the free trial.
  • No fees are charged during the free trial period.
  • If not cancelled before the end of the Trial, it will automatically convert to the selected plan and the first payment will be made.

3. Subscription Cancellation and Refund Policy

  • Members can request subscription cancellation at any time.
  • However, already paid subscription periods are not refundable.
  • Service can be used until the expiration date of the current subscription period even after cancellation.

4. Actions in Case of Payment Failure

  • In case of payment failure, the Company may retry payment.
  • If payment fails a certain number of times, service use may be suspended or the subscription may be cancelled.

Article 7 (Plans and Usage Restrictions)

  • The service may provide various plans such as individual, multi-user, and team plans.
  • The function scope, number of users, and pricing system of each plan are determined according to Company policy and announced on the service screen.
  • Members may not share accounts beyond the permitted scope or provide them to others without authorization.
  • In case of violation, the Company may take measures such as service use restrictions and contract termination.

Article 8 (Service Changes, Suspension, and Compensation for Failures)

  • The Company may change part or all of the service according to operational or technical needs.
  • Service provision may be temporarily suspended in the following cases:
    • System inspection and maintenance
    • External infrastructure failures
    • Natural disasters and other force majeure

If a service failure occurs for 24 hours or more due to the Company's fault, compensation may be provided such as extending the subscription period by at least 3 days.

Compensation obligations are exempted for failures due to force majeure.

Article 9 (Member Obligations and Prohibited Acts)

Members must not engage in the following acts:

  • Using another person's information or providing false information
  • Unauthorized copying, modification, or reverse engineering of service code, models, or structure
  • Creating or distributing illegal content using AI
  • Providing another person's personal information as AI input
  • Placing excessive load on servers using automation scripts, crawlers, bots, etc.
  • Acts that violate related laws or these Terms of Service

The Company may suspend accounts, restrict services, or terminate contracts with or without prior notice in case of violation.

Article 10 (Disclaimer for AI Outputs)

  • The service provides automatically generated information, suggestions, etc. based on AI models.
  • The accuracy, completeness, and timeliness of AI outputs are not guaranteed.
  • The Company is not responsible for damages or legal disputes arising from AI outputs.
  • Members must use AI outputs at their own judgment, and important decisions must be reviewed by experts.

Article 11 (Account Management)

  • Members are responsible for managing their accounts and passwords.
  • Members may not transfer or lend their accounts to others.
  • If account theft is suspected, the Company must be notified immediately.

Article 12 (Contract Termination and Service Suspension)

  • Members can request termination of the use agreement at any time through the "Cancel Subscription" or "Delete Account" menu.
  • Refunds are not available when canceling paid subscriptions, and service can be used until the subscription period ends.
  • The Company may restrict service use or terminate the contract in case of violation of the terms.

Article 13 (Intellectual Property Rights)

  • All intellectual property rights in the service, UI, logos, code, documents, etc. belong to the Company or rightful owners.
  • Members may not reproduce, distribute, publish, or create derivative works without prior approval.
  • Basic usage rights for AI outputs are granted to members, but members are responsible if third-party rights are infringed.

Article 14 (Compensation for Damages)

The Company compensates for damages only within the scope permitted by law for damages caused by the Company's intentional or gross negligence.

The Company is not responsible for the following damages:

  • Member's fault
  • External infrastructure and payment system problems
  • Natural disasters and other force majeure

Article 15 (Governing Law and Jurisdiction)

  • Disputes regarding these Terms of Service and the service are governed by Canadian federal law and the laws of the Province of Alberta.
  • The Company and members will consult for amicable resolution when disputes arise.
  • If consultation fails, the courts located in Calgary, Alberta shall have exclusive jurisdiction.
